SFXM.NETWORK is operated and provided by SYSTEM FX MANAGEMENT BEATA SUCHENEK, ul. Grochowska 23/31, 04-186 Warszawa, Polska, NIP 1132341721, REGON 015262665 (the “Operator”). Contact: contact@sfxm.network.
Nature and scope of the service
SFXM.NETWORK is a B2B service designed to present the network, structure business context, create an initial SFXM Business Signal, submit company applications and — when the relevant functions are launched — provide companies with access to paid SFXM.NETWORK membership.
Submitting a public application or creating an initial SFXM Business Signal does not create any payment obligation. Paid membership may be offered to a company only after the membership terms, price, term and required SFXM Company Verification process have been presented.
Electronic services available
Through the service, users can browse information about SFXM.NETWORK, use the business-objective configurator, create an initial SFXM Business Signal, submit basic company and contact-person information, and express interest in proceeding to a later stage.
An initial SFXM Business Signal is only a basic outline of business intent. It is not the complete SFXM Business Signal structure available in SFXM Enterprise OS.
Who the service is for
The service is intended for adults using it in a professional capacity, in particular people acting on behalf of companies and organizations. Users should be authorized to provide the information they submit.
Controlled access to SFXM.NETWORK
Submitting an application does not mean admission to SFXM.NETWORK. Not every company will be invited to a later stage. Applications may be reviewed individually for completeness, business relevance and potential fit with the scope of the network.
The Operator does not guarantee an invitation, introduction to a business partner, commencement of discussions or negotiations, or completion of any transaction. Submitting an application does not create a membership or commercial agreement with the Operator.
Business email confirmation and application validity
After the application is stored, the Operator sends the stated business email address a message containing the application reference and a link used to confirm the address.
The confirmation link is valid for 30 days from submission. Failure to confirm within that period causes the application to expire and does not start the 12-month re-application period.
Email confirmation does not mean admission to SFXM.NETWORK, does not constitute SFXM Company Verification and does not by itself establish the applicant’s authority to represent the company.
One valid company application per 12 months
The 12-month period runs from the date on which the business email is confirmed and the application becomes valid in the system, subject to the Operator’s subsequent review of company information.
If the company is not qualified for membership activation, the next valid application may be submitted after 12 months. Supplying additional information, documents, corrections or correspondence within the same process does not constitute a new application.
The Operator may refuse to process another application submitted within that period. An exception may be made only at the Operator’s initiative, for example where the Operator asks the company to resubmit because of a technical or organisational issue.
An application whose business email was not confirmed and which expired after 30 days is not a valid application and does not prevent a new application.
Acceptance and version record of the Terms
Before submitting an application, the user is given access to the current Terms and must confirm acceptance. The system may record the date and time of acceptance and the Terms version identifier in order to document the conditions applicable at the time of submission.
Acceptance of these Terms at the application stage applies to the public application process and does not itself conclude a paid membership agreement. Paid-membership terms, including price and duration, are presented separately before any payment obligation arises.
SFXM Company Verification, membership and payments
Access to selected SFXM.NETWORK functions may require an active, paid company membership for the fixed term stated in the offer, including in particular a 6-month or 12-month term. Before any payment obligation arises, the company will be informed of the price, currency, membership term, scope of services, payment conditions and renewal rules.
Before membership is activated or renewed, the Operator performs SFXM Company Verification. The purpose of this process is to confirm the existence of the company, its core identifying information and selected organisational and payment-related links associated with the company applying for membership. The Operator may use information supplied by the company, information available in relevant public registers, data arising from the bank transfer and, where justified, additional documents or information.
Every membership fee for SFXM.NETWORK must be paid exclusively by bank transfer from an account held for the company applying for or renewing membership, directly to the Operator’s business bank account. For the purposes of these Terms, a company account means an account used for the company’s business activity and capable of being linked by the Operator to the company whose membership is to be activated or renewed.
A payment made from a private account that is not used as the relevant company’s business account, from another company’s account, or from an account whose link to the applicant company cannot be confirmed by the Operator does not constitute a basis for activating or renewing membership. In such a case, the Operator may require a compliant payment and may return the funds received to the originating account after completing the steps necessary for a secure and lawful refund.
For membership activation or renewal, membership fees are accepted only through the bank-transfer method described above. Cash payments, card payments, payments from third-party accounts or other payment methods that do not permit application of the required SFXM Company Verification standard do not activate membership.
Payment from the company’s account is one mandatory element of SFXM Company Verification and creates an additional transaction record used in assessing the link between the payment and the company. Payment alone does not mean that the company has been admitted to SFXM.NETWORK and does not guarantee successful completion of verification.
Membership is activated only after all required conditions have been met, including completion of the required scope of SFXM Company Verification, receipt of the compliant membership fee and confirmation of activation by the Operator. Receipt of a bank transfer by the Operator alone does not conclude a membership agreement if the remaining activation conditions have not been satisfied.
If the Operator declines to activate membership after receiving a payment, the amount allocated to the membership that was not activated will be returned to the originating account without undue delay, subject to applicable legal obligations, security requirements, any need to clarify the source or details of the payment, and normal bank processing times.
The Operator may refuse activation or renewal, pause the process or request additional information, in particular where there are discrepancies in the information provided, the company or payer cannot be confirmed, there is a suspicion of impersonation, fraud, misuse of another person’s or entity’s data, a breach of law or these Terms, or other justified concerns regarding the security of SFXM.NETWORK.
SFXM Company Verified means only that the verification steps required by the Operator were completed as of a particular point in time. The status is not a quality certificate, audit or full due-diligence review and does not guarantee solvency, honesty, reliability, reputation, product or service quality, or future performance by the company. It must not be interpreted as a recommendation by the Operator to enter into a transaction with that company.
The Operator may repeat or update SFXM Company Verification, in particular upon membership renewal, changes to company data or authorised persons, inconsistencies in the available information, or justified concerns regarding data accuracy or security.
Membership is entered into for the fixed term stated in the offer. Unless the company expressly agrees to different terms before entering into or renewing the agreement, membership does not renew automatically and expires at the end of the paid term.
Rules of use
Users must use the service lawfully and in good faith. Prohibited conduct includes submitting unlawful content, impersonating other people or companies, spam, fraud, attempts to interfere with the service or its security, and submitting information that the user is not authorized to provide.
At the public stage, users should not submit trade secrets, special-category personal data or other confidential information that is not necessary for the application.
Technical requirements
Use of the service requires an Internet-connected device, a current web browser supporting standard web technologies, JavaScript, and the ability to use necessary session and browser-storage mechanisms. Access may be temporarily limited for technical, security or maintenance reasons.
Starting and ending use of the service
Informational services begin when the website is opened and end when the user leaves it. The initial SFXM Business Signal process begins when the user starts the configurator and may be abandoned before submission. The application-submission service is performed when a valid form is submitted and the application is stored by the system.
Users can stop using the public service at any time. Ending use does not affect processing that remains lawful under the Privacy Policy and applicable law.
Role of SFXM.NETWORK, third-party information and business risk
SFXM.NETWORK provides an organizational and technological environment for structuring business context, creating SFXM Business Signals and facilitating potential business relationships. Unless the Operator and a particular user expressly agree otherwise in a separate agreement, the Operator is not a party to contracts, negotiations, transactions or settlements entered into between users or entities that establish contact in connection with SFXM.NETWORK.
In relation to such transactions, the Operator does not act as a seller, buyer, guarantor, surety provider, escrow holder, payment-service provider or entity guaranteeing the performance of obligations by another party.
Reviewing an application, allowing access to a particular stage or function of SFXM.NETWORK, presenting information about an entity, or carrying out any check of information by the Operator does not constitute an audit or comprehensive due diligence and is not a guarantee of identity, reliability, solvency, integrity, authorization, product or service quality, or the ability of that entity to perform future obligations, unless the Operator expressly defines a different scope for a specific service in writing.
Each user independently determines whether to enter into a business relationship and remains responsible for their own business decisions. Before entering into an agreement, making a payment, shipping goods, disclosing documents or confidential information, or assuming another obligation, the user should independently verify the prospective counterparty, including its identity and registration details, authority of representatives, required licences and authorizations, legal and financial terms of the transaction, bank-account details, payment arrangements, and safeguards appropriate to the type and value of the transaction.
Users should apply appropriate contractual, financial, banking, insurance, organizational and technical safeguards and, where appropriate, obtain independent legal, tax, financial or technical advice.
Names and intellectual property
Service content, layout, visual identity and SFXM product and feature names are protected to the extent provided by law. Proprietary system names are presented with the SFXM prefix, including SFXM Enterprise OS, SFXM Enterprise Business Operating System, SFXM Business Signal, SFXM Business Signals and SFXM Human Connection Layer. Use of the service does not transfer rights in those names or materials.
Operator liability and availability
The Operator takes reasonable steps to keep the service operational and secure but does not guarantee uninterrupted availability, error-free operation or any particular business outcome.
The Operator does not assume the commercial or economic risk of transactions or relationships between users. To the extent permitted by applicable law, the Operator is not liable for acts or omissions of independent users or third parties, including false or misleading information provided by them, non-payment, non-performance or defective performance of obligations, the quality of goods or services, breach of contract, or fraud committed by such a party.
Nothing in these Terms excludes or limits the Operator’s liability to the extent that such liability cannot lawfully be excluded or limited under mandatory applicable law.
Reporting abuse
Suspected fraud, impersonation, false information or other serious abuse may be reported to the Operator at contact@sfxm.network. Where justified by the security of the network or other users, the Operator may, to the extent permitted by law and proportionate to the circumstances, pause a process, restrict access, request additional information or terminate an entity’s access to SFXM.NETWORK. Failure to detect abuse or take earlier action does not constitute confirmation that an entity is reliable or trustworthy.
Complaints
Complaints concerning electronic services can be sent to contact@sfxm.network. The message should describe the issue and include information that allows us to respond. The Operator handles complaints without undue delay and replies electronically unless the circumstances require another form of contact.
Privacy and cookies
Personal-data processing is described in the Privacy Policy. Cookies and similar technologies are described in the Cookie Policy.
Changes to these Terms
These Terms may be updated in particular due to changes in functionality, security, the service model, SFXM Company Verification, membership rules or applicable law. The current version is published in SFXM.NETWORK. Changes relating to paid membership will not prejudice the terms of an existing agreement to the extent required by applicable law or individually agreed terms.
Governing law, jurisdiction and language versions
These Terms and the legal relationship between the Operator and a user arising from the use of SFXM.NETWORK are governed by the laws of the Republic of Poland, subject to mandatory rules that cannot lawfully be excluded by agreement.
In relationships with users acting in a business or professional capacity, to the extent permitted by applicable law, disputes between the Operator and a user arising out of these Terms or the use of SFXM.NETWORK shall be subject to the jurisdiction of the courts of Poland and shall be heard by the court having territorial jurisdiction over the Operator’s business address stated in these Terms, in Warsaw. Such jurisdiction is intended to be exclusive to the extent that the parties may validly agree on exclusive jurisdiction. This provision does not override any rules of exclusive jurisdiction or other mandatory rules.
The governing-law and jurisdiction provisions apply to the relationship between the Operator and the user. They do not determine the governing law or forum for agreements or transactions entered into directly between users, who should regulate those matters in their own contracts.
These Terms are available in Polish, English and Simplified Chinese. The English and Chinese texts are translations; in the event of a discrepancy, the Polish text is the reference version to the extent permitted by mandatory law.
